We are ClearGrade, doing business as ClearGrade, a company registered in Australia, New South Wales. We operate the website https://cleargrade.io, as well as any other related products and services that refer or link to these legal terms (collectively, the "Services").

ClearGrade is a predictive card grading platform that helps Pokemon card collectors assess the likely PSA or BGS grade of their cards before paying for professional grading services. Users upload photos of their cards and receive a predicted grade based on image analysis of centering, corners, edges, and surface condition.

These Legal Terms constitute a legally binding agreement between you and ClearGrade. By accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU MUST DISCONTINUE USE IMMEDIATELY.

The Services are intended for users who are at least 13 years of age. Users who are minors (generally under 18) must have parental permission to use the Services.

1. Our Services

The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.). The information provided is not intended for distribution where such use would be contrary to law or regulation.

2. Intellectual Property Rights

We own or are licensed to use all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, photographs, and graphics, as well as our trademarks, service marks, and logos.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services for your personal, non-commercial use only. Any breach of these Intellectual Property Rights will terminate your right to use our Services immediately.

By posting Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide licence to use, copy, reproduce, distribute, sell, publish, reformat, translate, and exploit your Contributions for any purpose.

3. User Representations

By using the Services, you represent and warrant that:

  • All registration information you submit is true, accurate, current, and complete
  • You have the legal capacity and agree to comply with these Legal Terms
  • You are not under the age of 13
  • If a minor, you have received parental permission to use the Services
  • You will not access the Services through automated or non-human means
  • You will not use the Services for any illegal or unauthorised purpose
  • Your use of the Services will not violate any applicable law or regulation

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.

5. Purchases and Payment

ClearGrade currently operates on a free tier. Any future purchases will be non-refundable. We reserve the right to introduce paid tiers with prior notice. All future payments shall be in USD.

6. Prohibited Activities

You agree not to:

  • Systematically retrieve data to create or compile a collection, database, or directory without written permission
  • Trick, defraud, or mislead us and other users
  • Circumvent, disable, or interfere with security-related features of the Services
  • Use any information obtained from the Services to harass, abuse, or harm another person
  • Use the Services in a manner inconsistent with any applicable laws or regulations
  • Engage in any automated use of the system, including bots, scripts, or data mining tools
  • Attempt to impersonate another user or person
  • Upload or transmit viruses, Trojan horses, or other harmful material
  • Use the Services to advertise or offer to sell goods and services
  • Sell or otherwise transfer your profile
  • Use predicted grade results to misrepresent the condition or value of a card to another party
  • Submit fraudulent, altered, or fabricated graded card data to the ClearGrade database

7. User Generated Contributions

The Services may invite you to submit, post, display, or distribute content and materials, including card photos, grading data, and other information (collectively, "Contributions"). When you create or make available any Contributions, you represent and warrant that your Contributions are accurate, not misleading, do not violate any applicable law, and do not infringe the proprietary rights of any third party.

8. Contribution Licence

By posting your Contributions to any part of the Services, you automatically grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to host, use, copy, reproduce, disclose, sell, publish, store, translate, and distribute such Contributions for any purpose.

We do not assert ownership over your Contributions. You retain full ownership of all your Contributions and any associated intellectual property rights.

9. Services Management

We reserve the right to monitor the Services for violations of these Legal Terms, take appropriate legal action against violators, and remove or disable any Contributions at any time without notice.

10. Privacy Policy

We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States. If you access the Services from any other region, you consent to have your data transferred to and processed in the United States.

11. Copyright Infringements

We respect the intellectual property rights of others. If you believe that any material available through the Services infringes upon any copyright you own or control, please notify us immediately using the contact information provided below.

12. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access, terminate your account, and delete any content or information you posted at any time, without warning, in our sole discretion.

13. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times and accept no liability for any loss or inconvenience caused by downtime.

14. Governing Law

These Legal Terms shall be governed by and defined following the laws of Australia. ClearGrade and yourself irrevocably consent that the courts of Australia shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

15. Dispute Resolution

Informal Negotiations

The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

Any dispute arising out of or in connection with these Legal Terms shall be referred to and finally resolved by arbitration. The number of arbitrators shall be one (1). The seat of arbitration shall be Sydney, Australia. The language of the proceedings shall be English. The governing law shall be the substantive law of Australia.

Restrictions

Any arbitration shall be limited to the dispute between the parties individually. No arbitration shall be joined with any other proceeding, and there is no right or authority for any dispute to be arbitrated on a class-action basis.

16. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information at any time without prior notice.

17. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT.

18. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

19. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your Contributions, use of the Services, breach of these Legal Terms, or violation of the rights of a third party.

20. User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services. You are solely responsible for all data that you transmit. We shall have no liability to you for any loss or corruption of such data.

21. Electronic Communications

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.

22. California Users and Residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210.

23. Miscellaneous

These Legal Terms constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. If any provision of these Legal Terms is determined to be unlawful or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions.

24. Community Database and Data Licensing

When you submit graded card data to ClearGrade (including card photos, PSA or BGS grades, certification numbers, and card identification information), you grant ClearGrade a perpetual, worldwide, royalty-free license to use, store, and incorporate that data into the ClearGrade database. This data may be used for product improvement, research, aggregated analytics, and commercial data licensing to third parties. ClearGrade will never sell or share your personal identifying information. Data licensing involves only aggregated, anonymized grading data contributed to the communal database, not individual user data or personally identifiable information.

25. Prediction Disclaimer

ClearGrade provides predicted grades based on image analysis of card condition. These predictions are not professional certifications and are not guaranteed to match grades issued by PSA, BGS, or any other grading company. Predicted grades are provided for informational purposes only. ClearGrade accepts no liability for grading decisions, submission costs, or financial outcomes based on predicted grades. Users must not use predicted grade results to misrepresent the condition or value of a card to any other party.

26. Card Authenticity

ClearGrade analyzes the visible condition of cards only. ClearGrade does not assess, verify, or guarantee the authenticity of any card submitted for analysis. ClearGrade accepts no liability for counterfeit, altered, or misrepresented cards. Users are solely responsible for verifying the authenticity of their cards before submitting them for professional grading or sale.
